1. Agreement and scope
These Terms of Service ("Terms") form an agreement between Eduule LTD ("Eduule", "we", "us" or "our") and the school, organisation or authorised person using Eduule ("School", "you" or "your"). They govern access to our school-management platform, website, support and related services in Nigeria.
By creating an organisation, accepting these Terms, or using Eduule, you confirm that you have authority to bind the School. If you do not agree, do not use the service.
2. Definitions
- Authorised User means a person permitted by a School to access its Eduule workspace, including administrators, staff, students and parents/guardians where enabled.
- School Data means information submitted to Eduule by or for a School, including student, guardian, staff, academic, attendance, finance and school-administration records.
- Services means Eduule's hosted software, documentation, support and approved features.
- School Administrator means an Authorised User with authority to manage the School's workspace, users, settings and permissions.
3. Account administration
School Administrators may create users, assign roles, manage access, invite staff, issue student logins and configure School settings. The School is responsible for ensuring that account details are accurate, permissions are appropriate, former staff lose access promptly, and credentials are not shared.
Each user must protect their password, Student ID, Staff ID, school code, device and authentication methods. The School must promptly notify us at [email protected] or 08085954233 of suspected unauthorised access.
4. School responsibilities and children's data
The School is responsible for the legality, accuracy and integrity of School Data, including providing privacy notices and obtaining any permissions, consents or other authority required for children, students, parents/guardians and staff. The School must use Eduule only for legitimate educational and school-administration purposes.
The School must not instruct Eduule to process personal data unlawfully, upload content it has no right to use, or grant access beyond what is necessary for a user's role. Eduule does not replace the School's safeguarding, records-management, financial-control or statutory duties.
5. Acceptable use
You must not, and must not allow others to: access another School's data; share accounts or credentials; bypass permissions or security controls; probe, scan or interfere with the platform; introduce malware; scrape or copy data without authority; use the platform for harassment, fraud or unlawful discrimination; upload unlawful, harmful or infringing material; falsify academic, attendance or financial records; or use Eduule in breach of applicable law.
6. School Data and privacy
The School retains its rights in School Data. Eduule receives only the limited rights needed to host, secure, back up, maintain, support and improve the Services in accordance with these Terms, our Privacy Policy and the School's lawful instructions.
For most School Data, the School acts as controller and Eduule acts as processor. Eduule may separately control limited business, account, security and support data as described in our Privacy Policy. The parties will cooperate in good faith on data-subject requests, security incidents and other data-protection obligations.
7. Fees, billing and payment
Schools may subscribe on a termly or annual basis. A termly subscription generally covers one academic term, which may be approximately four months depending on the School's calendar. Subscription fees are payable in advance for the selected period. The applicable price, due date, renewal date, taxes and payment method will be shown before payment or in the relevant order, invoice or plan notice.
Unless required by law or expressly agreed in writing, fees for an already-started subscription period are non-refundable. We may change future pricing with reasonable prior notice. Eduule provides record-keeping and workflow tools for school fees and payments; it does not hold school funds or act as the School's bank.
8. Late payment and suspension
We may send reminders after a payment becomes overdue. Unless a different written agreement applies, a School has a 14-day grace period. We may place an account in read-only mode after 30 days overdue, suspend access after 60 days overdue, and terminate the subscription after 90 days overdue following written notice. We may suspend access sooner where necessary to protect users, comply with law, address a security risk or stop a material breach.
9. Service availability and support
We aim to provide a reliable and secure service, but no online service is uninterrupted or error-free. We may perform maintenance, release updates, change features, or suspend parts of the service where reasonably necessary. We will use reasonable efforts to give advance notice of planned material disruption. Internet connectivity, third-party providers and user devices may affect availability beyond our control.
10. Intellectual property and feedback
Eduule and its licensors retain all rights in the platform, software, design, documentation, trademarks and other materials, except for School Data. We grant the School a limited, non-exclusive, non-transferable right to use the Services during its subscription. You may not copy, sell, lease, reverse engineer, modify or create competing works from the Services except where applicable law permits it. Feedback may be used by Eduule without restriction, provided it does not identify a person or disclose confidential School Data.
11. Third-party services and uploads
Some features may rely on third-party infrastructure, communications, storage, authentication or payment providers. Their services may have separate terms and privacy notices. The School is responsible for ensuring it has the rights to upload logos, photographs, stamps, documents, payment proofs and other content. We may remove or restrict content that is unlawful, harmful, infringing or creates a security risk.
12. Termination, export and deletion
Either party may end a subscription in accordance with the applicable plan or written agreement. On termination, the School may request export of its School Data during a 90-day export period. After that period, Eduule will normally delete live School Data within 30 days and remove it from backups within 180 days, subject to legal, security, accounting, audit and dispute-resolution retention requirements.
Financial records and related approval records may be retained for six years where required for accounting, tax, audit or legal purposes. Termination does not remove obligations that by their nature should continue, including payment obligations, confidentiality, privacy, intellectual-property restrictions and limitation of liability.
13. Disclaimers and liability
The Services are provided on an "as available" basis to the extent permitted by law. Eduule does not guarantee that the Services will be uninterrupted, error-free, suitable for every School's needs, or a substitute for professional educational, financial, legal, safeguarding or records-management advice.
To the extent permitted by applicable law, Eduule will not be liable for indirect, incidental, special, consequential or punitive losses, loss of profit, goodwill or data arising from use of the Services. Any liability that cannot legally be excluded remains limited to the maximum extent permitted by law. Nothing in these Terms excludes liability that cannot lawfully be excluded.
14. Indemnity
The School will indemnify Eduule and its personnel against third-party claims arising from School Data, the School's unlawful use of the Services, or breach of these Terms, except to the extent caused by Eduule's own breach, negligence or unlawful conduct.
15. Changes, law and contact
We may update these Terms for legal, security, operational or service reasons. We will publish the updated version and give additional notice for material changes where appropriate. Continued use after the effective date means the School accepts the updated Terms, except where law requires a different process.
